Please note that for this project I am only looking for legal experts in India, preferably Bangalore as this is where the target businesses are based.
I am an angel investor and PE investor who is making his foray into India. My first step in India has been to identify a couple of start-ups and I would like to hire a legal document expert who has experience of writing MoU's between shareholders, Share Purchase Agreement, New ShareHolders Agreement and term sheet if need be. The documents are required for two small companies only and the reason why I am looking to hire an Indian legal expert is to make sure that the terms and conditions are acceptable under Indian corporate laws.I and my legal experts in UK will be giving the terms and conditions in detail on a case by case basis that needs to go into the documents and hence will need someone with whom I can closely coordinate with and talk to, on a daily basis until the documentation is complete.
The target companies are in the field of IT/ITES and manufacturing. The manufacturing company is a startup and hence would require only a robust SHA and a MoU. The IT/ITES company will require all the above mentioned documents.
Please let me know your quote and also your willingness to take in changes in the middle of the documentation and your ease of accessibility.
