Contract Online Videos and Protecting my Material

I need a short contract that protects me. I teach hands-on dental courses (continued education) that are 1 or 2 day in person training and I have my presentations I give and I also have specially designed plastic teeth for hands-on exercises during the training. A colleague of mine has an online website that sells continued education and he wants record my presentation and have people register to take the course from their home. A full kit of material including my models and equipment will be sent to people who register to take the course, and the materials will be returned after they complete the training from their home/office. As of now, when people sign up to take the online education, my office will be shipping out models and materials so that the participants can take the education at their home and have all the materials they would need to do hands-on training from their home/office. When they are done they will ship back the major equipment (small but expensive). There will be possibility to make money if the participants want to keep some of the equipment that is shipped rather than returning it- I can get a percentage of the sales after I negotiate with the manufacturers of the equipment. I want to make sure my plastic teeth which are custom designed by me and made just for me are protected ( I designed them and I have them manufactured by a company that makes plastic teeth). I also want to make sure that the video of my material is not used for any other purpose that does not generate me income because this will definitely detract from my live in person training courses which i do 6-10 times a year (weekend courses). I also want to make sure there is an end-date to the videos/contract so that it is not permanent. If i change my mind in the future I want to be able to cancel the video or negotiate better compensation if the courses are very successful. Key points: The compensation which we have agreed upon is $200 per registration/participant of online hands on training. My prepped teeth: #3 (Onlay Cementation exercise), # 4 (Stress reduced direct composite exercise), #14 (Immediate Dentin Sealing & Margin Elevation exercise), & #15 (Endo Treated tooth exercise) are copyrighted and may not be duplicated or reproduced. The teeth are my property and will be supplied for participants who register and pay for online training, but may not be used for any other purpose other than online training for paid participants who generate income (no live hands on training programs or demonstrations are allowed) without my permission. The actual cost of the teeth will be separate from my compensation ($200 per attendance)- teeth cost $4 each = $20 for teeth 3, 4, 14 & 15 (one duplicate # 14 is supplied) Labor for packaging and shipping supplies will be performed by my dental staff. Labor for each signup will be provided at a flat rate of $30 for my staff to prepare models, fabricate onlay restorations, package materials, ship, and clean returned supplies/ take inventory of returned goods. Actual cost of shipping will also be reimbursed to me. I will be allowed to receive a percentage of sales to be negotiated with the following sponsors: Addent, Hu-Friedy, & Garrison. Actual percentage to be negotiated with the companies. The recorded videos containing my presentation and/or models cannot be used for any other purpose aside from course participants who register and pay for online CE. No other use is authorized. The length of this contract is 1 year at which point, re-negotiation will be required in order to continue using hands on models and video.
