Video Sharing YouTube Script

I need a Video Sharing script similar to youtube. I am looking for 2 versions of the script. 1 version that converts files to FLV files for playback usually using the ffmpeg flvtools2 and mencoder and another version that that just streams the videos based on the format that the video was uploaded in. The site need to have the following Member section Admin Section Ability to accept PayPal. (If merchant account, 2checkout, worldpay it would be a bonus) Ability to upload banners or add Adsense code Site statistics and recent uploads Ability to add categories or groups for videos Ability to rate videos and show relevant videos High quality play back options Send to a friend Generate code for people to place videos on their site Watermarking of the video Ability to display a commercial before a video would be a bonus Full FLA file to player MUST BE PHP5 Compliant must be able to run on Unix but also on windows would be a bouns Basically I want most all the features you would see at youtube on in scripts from StockSctips, Alstr or ClipShare. You must be able to legally sell this script and authorize me to use it, modify it, or redistributed it as I see fit. All code must be 100% unencrypted. Budget is for both scripts from one provider.
