Dear Sir, According to my opinion, first we need to create a staging site which is an exact copy of your Live site and perform all the tests out there. Depending on all the third party modules installed on your current site some modules might also need an update so you need to provide us all third party extensions updated version. Before proceeding further is it possible to send us your site url and would also like to know how large is your database. Once everything is tested and confirmed on staging we can easily move these to your Live site. Thanks, Kopila

Can probably do this with no downtime but would definitely be absolute minimum. Changes to themes would be done on a test site before been deployed to your live servers.
